Terms of Use

These Terms of Use (“Terms”) govern access to and use of THEKEY, including the website, applications, dashboards, learning tools, question-generation tools, analytics tools, assessment tools, proctoring or exam-security tools, support services, and related services available through thekey.sa and any related domains or applications (collectively, the “Platform” or “Service”).
By accessing or using the Platform, creating an account, logging in, clicking “I agree,” or using the Service through an educational institution, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must not use the Platform.

2. Scope of the Service
THEKEY is an educational technology platform designed for higher education. It enables educational institutions, instructors, students, supervisors, and administrators to use digital tools for learning, course management, question banks, practice, assessment, educational analytics, and learning experience enhancement.
Depending on the relevant plan or institutional agreement, the Service may include course and content management tools, question, test, and assignment generation, AI-assisted learning tools, student performance analytics, practice and gamification features, proctoring or exam-security tools, Safe Exam Browser integrations, and dashboards for institutions and instructors.
We may add, modify, suspend, or restrict Platform features when reasonably required for development, security, legal compliance, operational requirements, or an agreement with an educational institution.
3. Relationship with educational institutions
The Platform may be used through a university, college, institute, educational or training provider, governmental entity, or private entity. In that case, THEKEY may have a separate agreement with that institution. If these Terms conflict with a written institutional agreement, the institutional agreement will apply to its subject matter, while these Terms continue to govern individual use to the extent not inconsistent with that agreement.
Educational institutions remain responsible for programme and course approvals, admissions and enrolment decisions, academic content, final grades and assessments, academic policies, academic misconduct proceedings and appeals, certificates, credits, qualifications, and compliance with e-learning licences or accreditations where required.
Unless expressly agreed in writing, THEKEY does not itself grant academic degrees, university certificates, academic credits, professional qualifications, or educational licences. Any course, programme, certificate, exam, or credential offered through the Platform remains the responsibility of the relevant educational institution.
4. Eligibility and authorised use
You must be authorised by THEKEY or by your educational institution to use the Platform. By using the Platform, you represent that you have the legal capacity to use it and to be bound by these Terms, or that your use is authorised by your legal guardian or educational institution where required by applicable law.
You agree that the information you provide is accurate, current, and complete, that you will use the Platform only for authorised educational, administrative, or academic purposes, and that you will comply with the laws and regulations of the Kingdom of Saudi Arabia and applicable institutional policies.
5. Accounts and access security
You are responsible for maintaining the confidentiality of your access credentials and for all activity under your account. You must use only your own account, must not share your password or authentication credentials, must not allow any other person to use your account, and must notify us immediately if you suspect unauthorised access.
We may suspend or restrict account access if we identify a security risk, unauthorised use, or violation of these Terms or institutional policies.
6. Acceptable use rules
You must not use the Platform for any unlawful or unauthorised purpose. In particular, you must not:
- violate any applicable law, regulation, decision, instruction, or institutional policy in the Kingdom of Saudi Arabia;
- impersonate another person, submit misleading information, or use an account that does not belong to you;
- cheat, facilitate cheating, leak exam questions, or circumvent academic-integrity or assessment rules;
- bypass or disable proctoring, exam-security tools, or Safe Exam Browser controls;
- upload or publish content that is unlawful, offensive, or contrary to public morals or religious or cultural values in the Kingdom;
- upload content that infringes intellectual property, confidentiality, privacy, or third-party rights;
- attempt to gain unauthorised access to accounts, courses, data, or systems;
- scrape, copy, extract, or bulk download data without written permission;
- reverse engineer, decompile, modify, or exploit the Platform contrary to these Terms;
- introduce malware or harmful code, or interfere with the security or performance of the Platform.
7. Academic integrity and exam security
THEKEY may provide tools to support academic integrity and exam security, such as session logs, browser restrictions, identity verification, activity indicators, access settings, proctoring integrations, or potential-incident reports.
When you use any exam, assignment, or assessment through the Platform, you must follow the exam instructions and institutional policies. You must not bypass assessment settings, use unauthorised tools or devices, share exam questions or answers, give or receive unauthorised assistance, or manipulate session, identity, or activity records.
THEKEY may provide relevant logs, reports, or indicators to the educational institution for review, investigation, appeal, or academic decision-making. Platform indicators or proctoring alerts are not final decisions by themselves unless the institution determines otherwise under its approved procedures.
8. AI-powered tools
The Platform may include AI-powered tools for question generation, content summarisation, explanations, translation, performance analysis, or educational recommendations.
You acknowledge that AI outputs may be inaccurate, incomplete, or unsuitable for some contexts. Users and institutions must review and verify outputs before using them for teaching, assessment, publication, or decision-making.
You must not use AI tools to generate unlawful, misleading, or harmful content, infringe intellectual property or confidentiality, submit unnecessary or unauthorised personal data or sensitive data, or make final decisions affecting students without appropriate human review where required.
9. Content and intellectual property rights
“User Content” means any content uploaded, created, entered, or processed through the Platform, including courses, files, questions, answers, assignments, comments, feedback, grades, and outputs generated by AI tools.
User Content remains owned by its owner, the educational institution, or the relevant rights holder, as applicable. By entering content into the Platform, you grant THEKEY a limited, non-exclusive licence to use, host, store, process, display, transmit, and analyse it to the extent necessary to provide, improve, secure, and support the Service and comply with contractual and legal obligations.
You represent that you have all rights, licences, and consents necessary to upload or use content through the Platform. THEKEY may remove or restrict access to content that we reasonably believe violates these Terms, applicable law, third-party rights, or institutional policies.
10. THEKEY ownership
All intellectual property rights in the Platform, including software, designs, interfaces, databases, algorithms, models, graphics, logos, trademarks, workflows, analytics, documentation, and content created by THEKEY, are owned by THEKEY or its licensors.
These Terms do not transfer any ownership rights in the Platform to you. Your rights are limited to using the Platform in accordance with these Terms and any applicable agreement.
11. Third-party services and integrations
The Platform may integrate with third-party services, including single sign-on, cloud hosting, payment processing, email, AI tools, analytics, proctoring tools, and institutional systems. Those services may be governed by their own terms and privacy notices.
12. Fees, payments, and refunds
Some services, plans, or features may be paid. Fees, taxes, payment methods, renewal terms, cancellation terms, and refund rules will be shown on the purchase page, order form, or relevant agreement.
Unless otherwise stated, prices are displayed in Saudi Riyals or the stated currency, VAT or statutory fees are added where applicable, payments are processed by licensed or approved payment-service providers, THEKEY does not store full payment-card details, and access may be suspended for failed, overdue, disputed, or abusive payment activity.
13. Availability and support
We aim to provide a reliable Service, but we do not guarantee that the Platform will be uninterrupted or error-free. The Service may be unavailable or affected due to maintenance, updates, outages, cybersecurity incidents, service providers, or events outside our reasonable control.
Technical support can be contacted at support@thekey.sa. Educational institutions may have additional support channels or service levels under their agreements.
14. Privacy and personal data protection
Use of the Platform is subject to THEKEY’s Privacy and Personal Data Protection Policy, which explains how personal data is collected, processed, stored, disclosed, transferred, and destroyed, and how Data Subjects may exercise their rights.
Where THEKEY processes personal data on behalf of an educational institution, the institution may be the Controller and THEKEY may be the Processor. Where THEKEY determines the purposes and means of processing, THEKEY acts as Controller, depending on the nature of the processing.
15. Complaints
If you have a complaint about the Platform, technical support, billing, or privacy, you may contact privacy@thekey.sa. If the complaint relates to a grade, academic decision, academic misconduct, course content, or institutional policy, you should contact the educational institution first unless the complaint directly relates to THEKEY’s technical service.
16. Suspension or termination of access
THEKEY may suspend, terminate, or restrict your access if you violate these Terms, the educational institution requests it, a security, legal, or operational risk exists, the account is used for cheating, manipulation, or unauthorised access, payments are overdue, or continued service would violate applicable laws, instructions, or agreements.
17. Disclaimers
The Platform is provided “as is” and “as available” to the extent permitted by law. THEKEY does not warrant that the Platform will be free from errors, interruptions, or all security risks, or that it will be suitable for every course, exam, device, browser, or learning environment.
THEKEY does not guarantee specific academic results, grades, university admission, accreditation, qualifications, or certificates unless expressly stated in a written agreement. Analytics, performance indicators, exam alerts, and AI outputs are support tools and should not be treated as final decisions without appropriate human and institutional review.
18. Limitation of liability
To the extent permitted by law, THEKEY and its officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, reputation, educational opportunities, or business opportunities.
In all cases, and without prejudice to mandatory provisions of Saudi laws, THEKEY’s total liability for any claim arising from the Service will not exceed the amounts actually paid for the relevant Service during the twelve months before the event giving rise to the claim.
19. Indemnity
You agree to indemnify and hold THEKEY harmless from claims, losses, damages, costs, and expenses arising from your violation of these Terms, misuse of the Platform, infringement of third-party rights, unauthorised content, or violation of academic-integrity policies, to the extent permitted by law.
20. Force majeure
THEKEY will not be responsible for delay or failure caused by events outside its reasonable control, including natural disasters, internet or power outages, large-scale security incidents, governmental decisions, acts of third-party providers, or similar events.
21. Changes to these Terms
We may update these Terms from time to time. We will post the updated version and revise the last-updated date. We may provide additional notice if a change is material or required by law. Continued use of the Platform after the changes become effective means you accept the updated Terms.
22. Governing law and jurisdiction
These Terms are governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia. The competent courts and judicial authorities in the Kingdom of Saudi Arabia will have jurisdiction over disputes arising from these Terms or use of the Platform, unless a mandatory law or written agreement provides otherwise.
23. Language
These Terms may be published in Arabic and English. If there is a conflict between the Arabic version and the English version, the Arabic version will prevail unless a written agreement provides otherwise and subject to mandatory applicable law.
